The Senior Manager, Real Estate Counsel exercises independent judgment in negotiating and drafting various license agreements, service contracts, vendor agreements, and other business-related agreements across multiple disciplines, with an emphasis on serving the needs of the Business Development and Marketing departments.
Essential Job Functions:
•Negotiate, draft, review, and/or revise national agreements for the following company departments: Business Development, Marketing, Digital, Operations, Sustainability and Energy Management, and Information Technology.
•Negotiate and draft Confidentiality and Non-Disclosure Agreements.
•Review marketing copy; draft sweepstakes rules and monitor social media campaigns for 48 properties.
•Maintain and develop expertise about laws, regulations, and court decisions affecting privacy, online security, digital marketing, sweepstakes, and gift with purchase promotions.
•Negotiate film license agreements with production companies typically on tight deadlines.
•Research legal issues and prepare legal opinions.
•Analyze vendor issues and disputes to determine rights and resolve issues before litigation.
•Provide guidance to and work with outside counsel, as needed.
•Ability to work with cross-functional teams quickly and independently.
•Law degree from an American Bar Association accredited law school.
•Admitted to practice law, preferably in California.
•Must satisfy Minimum Continuing Legal Education (MCLE) requirements to maintain active license to practice law.
•Minimum 3+ years’ relevant experience with a background in real estate law, corporate law, and/or intellectual property law.
•Excellent PC skills, including Microsoft Word, WordPerfect, and Excel.
